LATEST TEXT OF BYLAW TO GO ON BALLOT - Board removed provision to allow health insurance.

1/15/03 REGULAR BOARD MEETING - Bylaws Committee has reworked the proposal to do everything previously rejected by the membership AND MORE!  Eliminates the specified, set fixed meeting fee, the cap on meetings, and allows the Association to provide health insurance for Board members AND it allows the Board to set its own fees!!    

10/16/02 REGULAR BOARD MEETING - 2003 BOARD COMPENSATION BYLAW -- Apparently would:  1) Eliminate any limit in the bylaws on meeting fees (now $100 per meeting) paid to directors for attending Board or other meetings while the director is representing the cooperative in an official capacity; 2) the restrictions, or “cap”, on the number of meetings the Board president and Board members can attend annually and be compensated for; 3) the restriction on the type of insurance coverage which can be provided a director; and 4) establish a member committee to determine appropriate compensation for Board members.

10/2/02 OPERATIONS COMMITTEE MEETING - BOARD POLICY 108 (DIRECTOR COMPENSATION) -- Proposed change apparently eliminates restrictions on paying meeting fees for travel time and multiple meetings on one day.

BOARD COMPENSATION - Chugach Consumers is not necessarily opposed to raising director compensation which has been unchanged for over 17 years. But this bylaw will remove all limits on director compensation, giving the Board a blank check.  Do NOT give the Board a blank check! This Board should first earn a raise by cracking the whip on management to remove bloat and inefficiency and LOWER YOUR RATES.  Chugach Consumers cannot understand what the board is doing coming back time and time again with this when it is NOT PERFORMING for the members.    VOTE:  NO - 3,774     YES - 4,007     Passed only because for the first time there was no statement against the bylaw published in the voter pamphlet!

BOARD COMPENSATION - Chugach Consumers is not necessarily opposed to raising director compensation which has been unchanged for over 16 years.  This change remedies problems with last year's bylaw on the same subject which Chugach Consumers opposed and which was appropriately defeated.  While Chugach Consumers generally seeks to lower costs, the current Board believes that an adjustment in director fees in real terms is overdue.    VOTE:  NO - 4,207     YES - 3,522
    Interesting that the NO vote was virtually identical to year before!

BOARD COMPENSATION - Chugach Consumers is not necessarily opposed to raising director compensation, but this change would completely remove any financial limits on what the board can award itself.  This bylaw should be rejected and reworked to set a stated limit, perhaps indexed to inflation or changes in the local cost of living.     VOTE:  NO - 4,208     YES - 3,282
1998  INCREASE BOARD PRESIDENT FEES - Would have raised meeting fee for president from $100 per meeting to $150.    VOTE:  NO - 4,642     YES - 3,923
1992  DIRECTOR COMPENSATION - Would have raised director fees from $100 per meeting to $150.    VOTE:  NO - 9,259     YES - 4,562

QUESTION

Do you know when the Director Fees were raised to $100 and what they were
before that raise?

ANSWER (From Chugach Member Relations)

Apparently the $100 fee went into the bylaws in 1986. The reason was because there was a feeling that the board was meeting too often. That is the same time the cap on the number of meetings was also approved.  Prior to that the fee was the same $100, but it was in a board policy. I did not find out how long that policy was in existence and the fee was $100.

CHUGACH CONSUMERS COMMENT

The director's fees have been at $100/meeting for at least 16 years and maybe a lot longer.
